Summary

Presented by:
The SDCBA Legal Ethics Committee and Business & Corporate Law Section of the San Diego County Bar Association

This virtual program is worth 1.0 General MCLE Credit (Participatory)

The Corporate Transparency Act (CTA), which went into effect January 2024, aims to combat illicit activity related to U.S. businesses and requires certain entities to report information about ownership to the government. Under the new legislation, businesses that meet certain criteria must submit a Beneficial Ownership Information (BOI) Report to the U.S. Department of Treasury’s Financial Crimes Enforcement Network (FinCEN), providing details identifying individuals who are associated with the reporting company. Join our expert panelists, Gayani R. Weerasinghe, Esq. and Ed McIntyre, Esq., to understand the intricacies of the CTA and its potential impact for small businesses. Key highlights will include:

  • Overview of the CTA, including history, purpose and penalties
  • How Beneficiary is defined and who must report
  • What you need to submit, including a checklist of reporting requirements
  • Considerations for intake with new business clients
  • Potential ethical issues related to CA confidentiality rules
  • Current caselaw
